Position Summary
Uses contract administration skills and organizational policies and procedures to draft and issue contracts and license agreements. Works on contract administration problems of moderate scope where analysis of situations or data requires a review of a variety of factors. May consult with Subsidiary Rights Director regarding specific transactions, drafting of complex contract language and interpretation of opaque contract language.

Reporting to the Subsidiary Rights & Licensing Director, the Subsidiary Rights & Licensing Associate 1) serves as a primary resource on copyright, contracts, permissions and licensing, ensuring the integrity and clarity of the contracts and licenses for Press publications, 2) facilitates the negotiation and execution of translation and audio licenses; and, 3) administers and implements the permissions program, 4) oversees financial reporting of rights revenue and the ½ time staff person administering that program, with personal responsibility for preparing the quarterly financial report.

Duties
Licensing
Reviews requisitions and selects appropriate contracting method based on departmental needs. Facilitates the negotiation of rights' sales, including translation, audio, and film rights. Issue and fully execute contracts for sale of subsidiary rights licenses. Track payments due. Notify authors. Forecast licensing income on semi annual and annual basis. Provide an accounting of revenue generated by licensing activity quarterly. Develop bi annual seasonal rights guides, which are crucial to the sale of translation rights. These must be tailored to individual international territories and markets. Designing them, requires good judgment and decisions about which titles to include based on rights available and appeal in each specific language territory. Successful choice of title composition will result in successful sales; poor choices will subsequently be evident in lack of sales.

Fiscal Administration
Oversee ½ time staff person who handles daily financial payments and accounting reports, with personal responsibility for providing quarterly financial rights revenue report, including analysis of revenue performance. Forecast licensing income on semi annual and annual basis.


Contract Administration
Draft and execute contract documents that establish relationships with authors, and licensees ensuring that terms and conditions conform to the financial interests of the Press and to conventional publishing practices. Analyze terms and data to determine most appropriate contracting method. Apply professional contract administration concepts for each legal arrangement. Recommend, draft and consult UCOP legal staff to structure new, complex, agreements. Develop and maintain copyright and contract procedures, taking into consideration UC Press' overall policies. Review and advise colleagues on all UC Press publishing contracts. Teaches in-house training sessions on contracting issues. Provide interpretation of contractual terms and conditions. Guide staff on copyright and legal issues, consulting with Subsidiary Rights & Contracts Director as necessary. Attend and participate in relevant courses on copyright and legal aspects of publishing. Identifies and evaluates available information to make sound business decisions.


Permissions
Establish and implement policies and procedures for the permissions program. Establish fair market pricing based on knowledge of publishing practice. Liase with Copyright Clearance Center and international RROs. Administer and implement policies in granting permission requests on a daily basis and oversee use of online permissions system. Advise staff on terms and conditions for clearing permissions, providing guidance on resolving issues.

Digital Licensing
Track and analyze trends in aggregators' royalty statements.

Required

  • Bachelor's degree in related area and/or at least 3 years experience in scholarly publishing with training in intellectual property and contracts; or an equivalent combination of education and experience.
  • Proven strong skills in permissions licensing, and experience with digital licensing Working knowledge of internal departmental/unit operating policies.
  • Working knowledge of legal principles in intellectual property law including copyright and contracts; demonstrated ability to draft publishing agreements.
  • Exceptional verbal and written communication skills to articulate ideas and issues clearly, concisely, and persuasively, including business correspondence and legal contracts.
  • Strong qualitative and quantitative analysis skills; demonstrated abilities in problem identification, analysis, and resolution.
  • Excellent project management and organizational skills to prioritize multiple assignments and meet conflicting deadlines within a dynamic environment. Demonstrated ability to adapt behavior and work methods in response to changing conditions and unexpected obstacles.
  • Superior interpersonal skills as demonstrated by the ability to establish and maintain effective working relationships with press staff, authors, and press partners.
  • Knowledge of the organization, including its infrastructure, goals, mission, rules, policies, guidelines, et cetera.
  • Demonstrated records management skills to ensure sufficient documentation for legal uses.
  • Proficiency with MS Office Suite, email, and the Internet (including web-based applications).
